Job responsibilities include some or all of the responsibilities set forth below.


  • 1. Prepare, maintain and communicate a master calendar of all Yale New Haven Health Board and Board Committee meetings.
  • 2. Assist in the design of agendas and preparation of related materials in a timely manner, including coordinating standing agenda items to ensure consistent reporting of strategic initiatives and that legal and regulatory expectations are met.
  • 3. Provide support for the review of materials for successful presentation to boards and committees.
  • 4. Assist with ensuring that logistical aspects of meetings are executed smoothly, including making sure that meetings are scheduled in accordance with governing documents, that trustees and committee members receive materials timely, that meeting rooms are reserved and prepared.
  • 5. Follow up following board meetings to ensure receipt of meeting minutes for review and certified (signed) resolutions.
  • 6. Work with the supervising attorney and business partners to ensure that committee activities are set forth accurately in their charters.
  • 7. Research and advise on ways to streamline processes to help disseminate information to trustees and committee members more effectively (e.g., continued evaluation of secure apps or website used to facilitate communication between trustees and Yale New Haven Health (e.g., Board Portal).
  • 8. Help make sure that meetings are held in accordance with the applicable governance documents and raise questions to supervising attorney as appropriate.
  • 9. Attend and take minutes of meetings as directed by supervising attorney.
  • 10. Establish and maintain process for access to key governance documents for each system entity and archival of past governance documents.
  • 11. Maintain electronic minute books, lists of trustees and officers and corporate organization chart.
  • 12. Maintain board committee charters and process for annual committee review and updates as needed.
  • 13. Prepare and maintain template resolutions for recurring needs (i.e. elections, annual approvals) and prepare for system entities as needed. Prepare resolutions for additional, non-recurring board approvals as needed.
  • 14. Work with department attorneys to implement bylaw amendments, corporate formations, dissolutions, name changes and other governance related initiatives.
  • 15. Serve as the primary administrative support for the annual Yale New Haven Health Conflicts of Interest survey process for trustees and officers.
  • 16. Work with internal or outside counsel, as applicable, to manage requests for audit letters and maintain applicable responses.
  • 17. Serve as the liaison to and maintain filings for agent of service of process for system entities.
  • 18. Prepare and maintain annual filings and foreign corporation authorities for each system entity with Secretary of State.
  • 19. Respond as directed by the supervising attorney to regulatory and audit inquiries as related to governance matters.
  • 20. Manage and support other Yale New Haven Health governance-related initiatives as assigned.

Bachelor's Degree; formal paralegal training and/or experience preferred.


Two (2) to Four (4) years progressively responsible paralegal or other relevant experience in a law firm, corporate or healthcare.

Provides information on a timely basis and in a usable form to others who need to act on it. Carefully monitors the details and quality of own and others' work. Completes all work according to procedures and standards. Problem solving skills. Builds a logical approach to address problems or opportunities or manage the situation at hand by drawing on one's knowledge and experience base, and calling on other references and resources as necessary. Thinks of several possible explanations or alternatives for a situation and anticipates potential obstacles and develops contingency plans to overcome them. Identifies the information needed to solve a problem effectively. Presents problem analysis and recommended solution to others rather than just identifying or describing the problem itself. Computer Skills - Microsoft Office (Outlook, Word, Excel, PowerPoint), Adobe. Ability to learn LRSD document management system.
