Achillion is seeking a highly qualified contracts/corporate paralegal for the Legal Department. This role will be an integral part of a growing company reporting to the General Counsel. The paralegal will provide contract support to a variety of internal clients, including clinical development, medical affairs, R&D, manufacturing, commercial, and all business functions across the company. The successful candidate must have exceptional organizational skills and the ability to work collaboratively across all functions of the organization.

Position Responsibilities

This position will support all phases of company contracting to assure high quality in the contracting process and throughout the lifecycle of the contracts, while meeting timelines critical to support corporate objectives. This position will also support the General Counsel with corporate governance initiatives, policy development, training and compliance. The successful candidate will also be responsible for assisting the General Counsel in development and monitoring of the legal department budget.

Essential Duties

* Draft and negotiate a range of commercial contracts within guidelines provided by attorneys and finance, on a wide variety of matters including confidentiality, license, manufacturing, consulting, material transfer, clinical trial, vendor services and master agreements, agreements with academic institutions and other collaborative or partnering agreements

* Maintain contract templates in contracts system (Novatus)

* Proactively follow up with internal clients, attorneys and external parties from the time the contracting request is received through resolution/execution to ensure shortest cycle times

* Escalate contracting delays and issues to attorneys

* Prioritize and follow through on a high volume of client requests

* Resolve client requests in a professional and timely manner, escalating as necessary

* Understand, comply with, and educate internal clients on all relevant procedures and policies and work with Finance to ensure compliance with Sarbanes Oxley

* Responsible for administering contracting through the contracts system (Novatus) e.g., enter contract data into contracts management program; technical management of the contract lifecycle process from initial upload through full review and approval support and execution

* Responsible for correspondence to third parties regarding contracts e.g. terminations assignments, change of address etc.

* Review all contract requests from departments to ensure proper template utilized and proper reviews are obtained; collaborates with reviewing attorneys and finance colleagues to ensure same;

* Drive process improvements for contracting system

* Responsible for management of contract template selection process; categories of requisite information to be captured in the system and procedures for contract drafting, negotiation and execution;

* Generate reports for end-users, finance and legal departments

* Develop and maintain a tracking system(s) (i) for all requested contracts to assure timely completion of contracting process; and (ii) to assure management has full and comprehensive reports of all contracts; key contracting metrics and contract life cycle management system

* Manage & audit performance and use of company's contract management system

* Assist with all corporate records (Board consents,resolutions, minutes, etc.) and other documentation related to compliance with Company by laws and good corporate governance

* Assist in developing corporate and compliance policies and training

* Assist in development and monitoring of Legal Department Budget

* Support General Counsel with key legal initiatives and projects

Education and Experience

* Bachelor's degree

* Paralegal certification preferred.

* 5 years experience with law firm and/or in-house legal department with contracting.

* Experience with contracts management system, preferably Novatus.

* Experience in the pharmaceutical industry and with compliance strongly preferred.
